2015 Suggested Bylaw Changes

After careful review of the PCB by-laws, our committee has proposed a number of revisions to the PCB Board of Directors. Most of these proposed changes fall into one of three categories:
1. modifying the sections that refer to the Executive Director;
2. insertions or deletions to reflect what has become common practice within the organization; and
3. updating the numbering and naming of sections to maintain a cohesive document.

Pending board approval, below are the suggested by-law changes that will be presented to the general membership during the 2015 PCB Conference and Convention. Please familiarize yourself with the proposed revisions prior to the convention.

Amendment 1
Current Wording:
Article VI: Powers and Duties of the Board of Directors
Section 2. Reports
At each meeting the Board shall receive a report from the President and the Executive Director of the Pennsylvania Council of the Blind.

Proposed Revision:
Remove the executive director because this position no longer exists and add the treasurer because it has become the practice of the board of directors to require that the treasurer give a financial report at every meeting.

Proposed Wording:
Article VI: Powers and Duties of the Board of Directors
Section 2. Reports
At each meeting the Board shall receive a report from the President and the Treasurer of the Pennsylvania Council of the Blind.

Amendment 2
Current Wording:
Article VI: Powers and Duties of the Board of Directors
Section 6. Executive Director
The Board of Directors shall approve the hiring and dismissal of the Executive Director of the Pennsylvania Council of the Blind. A two-thirds (2/3) vote of the Board present at the meeting at which such action is considered shall be required.

Proposed Revision:
Change the title of the section to “Administrative Staff” and re-write the article to reflect the personnel change.

Proposed Wording:
Article VI: Powers and Duties of the Board of Directors
Section 6. Administrative Staff
The Board of Directors shall approve the hiring of all administrative staff by approval of two-thirds (2/3) vote of the board present at the meeting at which such action is considered. The Executive Board shall dismiss any employee by unanimous vote of the full Executive board.

Amendment 3
Current Wording:
Article VI: Powers and Duties of the Board of Directors
Section 8. Contracts
No member or group of members or officer or group of officers shall enter into any contract either on behalf of the Pennsylvania Council of the Blind or binding on the Pennsylvania Council of the Blind without the written permission of the Board of Directors.

Section 9. Solicitation of Funds
No member or group of members shall solicit funds in the name of or for the Pennsylvania Council of the Blind without the written permission of the Board of Directors.

Proposed revision:
Strike the word “written” from both sections

Proposed Wording:
Article VI: Powers and Duties of the Board of Directors
Section 8. Contracts

No member or group of members or officer or group of officers shall enter into any contract either in behalf of the Pennsylvania Council of the Blind or binding on the Pennsylvania Council of the Blind without the permission of the Board of Directors.

Section 9. Solicitation of Funds
No member or group of members shall solicit funds in the name of or for the Pennsylvania Council of the Blind without the permission of the Board of Directors.

Amendment 4
Current Wording:
Article VII: Powers and Duties of the Convention
Section 2. Participation
Only members whose dues are paid thirty (30) days prior to the date of any convention may participate in the convention.

Proposed Revision:
Strike this section because our conventions are open to all. Re-number the remaining sections to reflect the deletion.

Amendment 5
Current Wording:
Article VIII Duties of Officers

Proposed Revision: Create a section to define the Executive Board which has been part of governance for several years. This will become Section 1 and the sections that follow will be renumbered.

Proposed Wording:
Section 1 Executive Board
All officers in addition to the Immediate Past President shall comprise the Executive Board of the Pennsylvania Council of the Blind.

Amendment 6
Current Wording:
Article VIII: Duties of Officers
Section 1. President
The President is the principal administrative officer of the Council. In this capacity the President’s duties shall consist of:

1. Carrying out the policies adopted by the Convention.
2. Supervising the Executive Director of the Pennsylvania Council of the Blind and acting as liaison between the Executive Director and the Board of Directors.
3. Co-signing, or appointing a designated officer to co-sign, all checks drawn on funds of the Corporation.
4. Coordinating all activities of the Council including the work of other officers and all committees.
5. Appointing a Nominating Committee and all other committees.
6. Making reports to the Board and to the convention.

Proposed revision:
Re-write duty #2 to remove references to the Executive Director.

Proposed Wording:
2. Supervising the administrative operation of the Pennsylvania Council of the Blind and acting as liaison between the office administration and the Board of Directors.

Amendment 7
Current Wording:
Article VIII: Duties of Officers
Section 4. Treasurer
The Treasurer shall:
1. Oversee the fiscal components of the operation of the Pennsylvania Council of the Blind.
2. Make all financial disbursements by check signed by him/her and co-signed by the President or his/her designee.
3. Maintain a roster containing the names, addresses and dues status of all members of the organization.

Proposed Revision:
Add a forth duty of providing a financial report to the Board of Directors at each meeting.

Proposed Wording:
4. Provide a financial report at each meeting of the board.

Amendment 8
Current Wording:
Article VIII: Duties of Officers
Section 5. Chaplain
A Chaplain shall be appointed by the President to serve as needed.

Proposed Revision: Strike this section because it has not been in practice and re-number the remaining sections.

Amendment 9
Current Wording:
Article IX: Chapters
Section 1.
Any group of not less than eight (8) persons residing in the Commonwealth of Pennsylvania, the majority of whom are blind or visually impaired and who are in agreement with the purposes and objectives of the Pennsylvania Council of the Blind, may form a Chapter and shall be granted a charter upon the approval of the Board of Directors. They shall adopt bylaws which are not in conflict with the Bylaws of the Pennsylvania Council of the Blind.

Proposed Revision:
Change the Article and Section name to better differentiate the content.

Proposed Wording:
Article IX: Chapters & Affiliates
Section 1: Chapters
